On 23 June 2026, the Swedish Competition Authority (SCA) cleared Hypergene AB's acquisition of sole control of Stratsys AB, both ultimately owned by private equity firm Thoma Bravo.

The SCA had opened a Phase II investigation in February 2026, focusing on the horizontal overlap in software solutions for strategic planning, particularly to the public sector. The SCA found that the parties were likely each other's closest competitors, while noting that the degree of closeness was influenced by what other functionalities were procured alongside strategic planning.

The SCA approved the transaction subject to a behavioural remedy requiring Hypergene to make Stratsys' strategic planning product available to third-party software providers as certified resellers, on FRAND terms, for sale to public sector customers.

The RBB team was led by Petter BergPetter BergPetter BergPartner and Jimmy GårdebrinkJimmy GårdebrinkJimmy GårdebrinkAssociate Principal, working closely with Roschier.
